1. Acceptance of Terms

By accessing or using StockVisionz (the "Service"), you agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you and STOCKVISIONS ("we," "us," or "our").

2. Eligibility

• You must be at least 18 years of age to use this Service
• You must be a resident of the United States or Canada
• You must have the legal capacity to enter into a binding agreement
• By using the Service, you represent and warrant that you meet all eligibility requirements

3. Not Investment Advice

StockVisionz provides algorithmic backtesting tools, machine learning model outputs, and technical analysis data for research and educational purposes only. Specifically:

• No content, output, model result, or backtest on this platform constitutes investment advice, financial planning advice, or a recommendation to buy, sell, or hold any security
• Past backtest performance does not guarantee, predict, or imply future results
• ML model outputs are experimental and subject to overfitting, data limitations, and survivorship bias
• You should consult a licensed financial advisor before making any investment decisions
• STOCKVISIONS is not a registered investment advisor, broker-dealer, or financial institution

4. Account Registration

• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activity that occurs under your account
• You must notify us immediately at support@stockvisionz.com if you suspect unauthorized account access
• We reserve the right to terminate accounts that violate these Terms

5. Subscriptions and Payments

StockVisionz offers free and paid subscription tiers. For paid plans:

• Subscriptions are billed on a recurring basis (monthly or annual, as selected)
• All payments are processed by Stripe, Inc. and subject to their terms of service
• Subscription fees are non-refundable except as required by applicable law or at our discretion
• We reserve the right to change pricing with 30 days advance notice to active subscribers
• Failure to pay will result in downgrade to the free tier or account suspension

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable regulations
• Attempt to reverse-engineer, scrape, or extract data from the platform at scale
• Use the Service to manipulate markets or engage in fraudulent trading activity
• Share account credentials with others or resell access to the Service
• Upload or transmit malicious code, viruses, or any harmful content
• Interfere with or disrupt the integrity or performance of the Service

7. Intellectual Property

All content, software, algorithms, visual design, and platform infrastructure are the property of STOCKVISIONS and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your personal, non-commercial research purposes. You may not reproduce, distribute, or create derivative works from our platform content without written permission.

8. Data and Results

Backtest results, model outputs, and experiment data generated by you using the Service are associated with your account. We do not claim ownership of your input data. You grant us a limited license to process and store your data for the purpose of providing the Service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY SPECIFIC RESULTS WILL BE OBTAINED. USE OF THE SERVICE IS AT YOUR SOLE RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STOCKVISIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, TRADING LOSSES, OR DATA LOSS, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless STOCKVISIONS, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or for any other reason at our sole discretion. You may terminate your account at any time by contacting us at support@stockvisionz.com. Termination does not entitle you to a refund of prepaid fees.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in California, except that either party may seek injunctive relief in a court of competent jurisdiction. You waive any right to a jury trial or class action proceeding.

14. Changes to Terms

We may update these Terms at any time. We will notify registered users by email at least 14 days before material changes take effect. Continued use of the Service after changes constitutes acceptance.
